• This collaboration is operated by Artistclan Design Studio Private Limited ("Artistclan Design Studio", "We", "us", "our")

​

• All editorial, business and other decisions affecting the collaboration  shall be made jointly by both the parties, and no sale, disposition, licensing or other agreement with a third party shall be valid without the written consent of both the parties.​

• You agree that all the content shared by you with us can be used by us and our licensees and assigns, a royalty-free, non-exclusive rights to copy, crop, edit, publish, display, distribute, sublicense or otherwise use the image for the full term of copyright thereof, in connection with the publication or display of the images in all media including without limitation on the Internet, on mobile platforms and/or devices, in printed materials, and in the advertising, publicity and promotion thereof with due credit given to you.

• You acknowledge to having an Indian Bank Account in good standing and an email associated with the account.

​

• You will not provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory content or information.

• You will not engage in any activity that would require us to obtain license from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work, sound recording and images.

​

• You acknowledge that any unauthorized distribution of the content created by you for us will materially and irreparably harm us.

​

• You agree to deliver good quality and industry standard-abiding content to us on time. All the expenses incurred in creating the content shall be covered by the respective party.

​

• You shall not, during the course of collaboration, nor at any time thereafter, directly or indirectly, in public or private, in any manner or in any medium whatsoever, deprecate, impugn or otherwise make any comments, writings, remarks or other expressions that would, or could be construed to defame us and adversely affect our reputation. You also agree that you shall not assist any other person, firm or company in doing so.

• You agree to indemnify and hold Artistclan Design Studio harmless from any loss, liability, claims, damages and expenses, including attorney's fees, arising from or related to the content, use or deletion of your content. This expressly includes : (i) You responsibility for any and all liability arising from the violation or infringement of proprietary rights or copyrights ; (ii) Any defamatory or unlawful material contained within your content.

• The Terms & Conditions will be governed by and construed under the laws of India and the courts at New Delhi shall have the exclusive jurisdiction.

​

• You agree that no join venture, partnership employment, contractor or agency relationship exists between us.

​

• In the event where any provision of this collaboration is held invalid or unenforceable, any provisions left unaffected shall continue and remain in full force and effect.

​

• Upon termination of this collaboration for any reason, all rights granted to you by us shall forthwith terminate and immediately revert to us.

​

• Each party shall, at its own expense, comply with all applicable laws and make, obtain and maintain in force at all times during the collaboration, all tax filings, registrations, reports, licenses, permits and authorizations required under applicable laws, regulations or orders required for such party to perform its obligations under this collaboration.
